Acceptance of these terms

These Terms of Service (“Terms”) govern your use of the Prospyr 305 website and the services it describes, provided by Prospyr Inc., doing business as Prospyr 305. By accessing or using the site you agree to these Terms. If you are using the site on behalf of a company or other entity, you represent that you are authorized to bind that entity to these Terms.

About our services

Prospyr 305 provides agentic design and engineering services — including AI agent workforce design, AI infrastructure/MCP engineering, speed-to-lead systems, process redesign, adversarial security testing, agent governance and compliance, and related consulting. The specific services you receive, if we work together, are governed by a separate engagement agreement, proposal, or order. These Terms cover the site itself and do not replace those agreements.

Use of the site

You may use the site for lawful purposes only and only in the ways it is intended to be used.

You agree to provide accurate information and to keep it updated if it changes.

You may not attempt to access areas of the site you are not authorized to use, probe or scan for vulnerabilities, interfere with the site's operation, or upload malicious software.

Information you submit

Through our contact form or in conversations, we may ask you for information about your business and its workflows. You are responsible for the accuracy of the information you provide and confirm you have the right to share it with us for the purpose of a potential engagement.

Our intellectual property

The site — its design, software, text, and any templates or tools we make available — is owned by us or our licensors and is protected by intellectual property law. Nothing in these Terms grants you any right to copy, modify, resell, or build competing products from the site or its underlying software. Deliverables created for you as part of a paid engagement are addressed by your engagement agreement.

We do not claim ownership of the information you submit to us through this site.

No professional advice

The site is a marketing and communication tool. Content on the site — including service descriptions, blog content, and case studies — is provided for general information and does not constitute tax, legal, accounting, financial, or investment advice. Any professional advice is provided only under a signed engagement agreement by the appropriate licensed professional, and only in the specific written deliverables of that engagement.

Third-party services and links

The site may link to or rely on third-party services (for example video hosting, analytics, or payment processors if used). We are not responsible for the practices of those third parties; their use is subject to their own terms and privacy policies.

Disclaimer of warranties

Limitation of liability

To the maximum extent permitted by law, Prospyr Inc. and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or interruption of business — arising out of or related to your use of the site, even if advised of the possibility of such damages.

Our total aggregate liability arising out of or related to your use of the site — whether in contract, tort (including negligence), or otherwise — is limited to the greater of $100 or the amounts you paid us in the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

Termination

We may suspend or terminate your access to the site at any time if you breach these Terms, if continued access would threaten the security of the site or other users, or as required by law. Provisions of these Terms that by their nature should survive termination — including disclaimers, limitations of liability, governing law, and intellectual property — will survive.

Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the site will be brought exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts.
